Client description: An engineering services firm

Practice area: B2B/Industrial

Industries involved: Engineering services

Services applied: Merger acquisition sales divestitures

Business challenge: Multi-discipline engineering firm had reached a comfortable level of growth and profitability but needed additional structure and resources to grow to the next level. Founder and minority shareholders were also looking to develop and incorporate succession planning.

Our approach: In-depth executive interviews with all shareholders, board members, and senior executives. Comprehensive market research on the industry sectors in which the client competes and on key competitors. Full SWOT analysis on the company along with a market-based financial evaluation and prospectus. Development of a long-list of suitors and mailing of teaser letters to over 2,200 contacts. NDA’s with over 60 interested suitors who reviewed the prospectus. Visits and exchange of information with over 20 suitors, negotiations with 4 contenders, LOI, close.

The Deliverable: A unified team of shareholders and a sales price 20% higher than shareholders’ expectations.

The result: A merger/acquisition that will last because the best cultural and strategic fit merger was consummated, all shareholders were involved in the process, and a succession plan realized.
